Website Terms of Use
Version 1.0 — Effective date: October 20, 2026
1. Who we are
1.1 The website and services described on it are operated under the brand Orion Payments ("Orion", "we", "us") by [Legal entity name to be confirmed], whose registered address is [Registered address to be confirmed] (the "Operator").
1.2 The Operator's legal identity, registration details and address have not yet been confirmed. Until they are, these terms are a review draft only.
1.3 Contact: [Support email to be confirmed].
2. Definitions
2.1 In these terms:
- "Website" means the public pages published under the Orion Payments brand, including the Help Centre, Developer documentation and Legal Centre.
- "Sandbox" means the demonstration environment that uses synthetic data and simulated payment providers and in which no real payments are processed.
- "Portal" means the authenticated merchant and staff areas.
- "Merchant Services" means services provided to merchants under a separate Merchant Services Agreement.
- "You" means the person using the Website, and, where you act for an organization, that organization.
3. Scope of these terms
3.1 These terms apply to your use of the Website and of the Sandbox.
3.2 They do not govern Merchant Services. If you become a merchant, the Merchant Services Agreement, Acceptable Use Policy, API and Developer Terms and any applicable provider terms will apply in addition to these terms, and will prevail over these terms to the extent of any inconsistency.
4. Current stage of the service
4.1 Orion Payments is in development. Live payment processing is not available. No processor, acquiring bank, licence, registration or commercial agreement is currently confirmed.
4.2 Statements about planned capabilities describe intentions, not commitments. Availability is labelled on the Website as "Implemented", "Sandbox only", "Planned" or "Provider approval required".
4.3 Nothing on the Website is an offer to provide payment services, a promise of approval, or financial, legal or tax advice.
5. Sandbox
5.1 The Sandbox uses synthetic businesses, synthetic people, fictional documents and simulated payment providers, including a simulated blockchain network.
5.2 You must not enter real personal information, real identity documents, real bank account details, real wallet addresses, real card numbers, passwords, seed phrases or private keys into the Sandbox.
5.3 Sandbox transactions do not move money, do not create obligations to pay, and must not be presented to anyone as real transactions.
5.4 Sandbox data may be reset or deleted at any time without notice.
6. Permitted use
6.1 You may use the Website for lawful purposes to learn about Orion Payments, to request early access and to evaluate the Sandbox.
6.2 You must not:
(a) breach any law, or any third party's rights; (b) attempt to access accounts, data or systems you are not authorized to access; (c) probe, scan or test the vulnerability of the Website except as permitted by a published vulnerability disclosure policy (see clause 12); (d) interfere with the Website, including by introducing malicious code or by excessive automated requests; (e) use the Website to send unsolicited commercial messages; or (f) misrepresent your identity or affiliation.
7. Accounts and security
7.1 Some areas require an account. You must provide accurate information and keep your credentials confidential.
7.2 You are responsible for activity under your account that results from your failure to keep credentials secure. Tell us promptly at [Security contact to be confirmed] if you suspect unauthorized access.
7.3 We support multi-factor authentication and may require it for some roles.
7.4 We will never ask you for your bank login password, any payment provider account password, a wallet seed phrase or a private key.
8. Intellectual property
8.1 The Website, its software, text, design and the Orion Payments name and logo are owned by the Operator or its licensors. Trademark clearance for the Orion Payments name has not been completed.
8.2 You may view and print Website pages for your own non-commercial use. You may use code samples in the Developer documentation to integrate with Orion Payments under the API and Developer Terms.
8.3 You must not remove proprietary notices or use our name or logo to suggest endorsement without our written permission.
9. Third parties
9.1 The Website may refer to third-party products, payment providers, blockchain networks and websites. References are informational. No reference implies a partnership, endorsement or approval unless the Website expressly says so.
9.2 Third-party services are governed by their own terms. We are not responsible for third-party content or services we do not control.
10. Disclaimers
10.1 We aim to keep the Website accurate, but it is provided for information and may contain errors or be out of date.
10.2 To the extent permitted by law, the Website and Sandbox are provided "as is" and "as available", without warranties that they will be uninterrupted or error-free.
10.3 Nothing in these terms excludes or limits any right or remedy that cannot be excluded or limited under applicable law, including consumer protection legislation in your province or territory.
11. Limitation of liability
11.1 Subject to clause 10.3, and to the extent permitted by law, the Operator is not liable for indirect or consequential loss arising from use of the Website or Sandbox.
11.2 The amount of any cap on liability is [Liability cap for counsel review].
12. Security reports
12.1 Report suspected vulnerabilities to [Security contact to be confirmed]. A formal vulnerability disclosure policy has not yet been published.
13. Suspension
13.1 We may suspend or restrict access to the Website or Sandbox to protect users, systems or data, to comply with law, or if you breach these terms. Where practical and lawful, we will tell you why.
14. Changes
14.1 We may update these terms. Each version is published in the Legal Centre with its version number, effective date and a summary of changes; prior versions are archived.
14.2 Material changes will be notified on the Website before they take effect. Continued use after the effective date means the updated terms apply to future use.
15. Notices
15.1 We may give notices by posting them on the Website or, if you have an account, by in-app notification or to the email address on your account.
15.2 Notices to us must be sent to [Support email to be confirmed] (or the address published for the relevant purpose, such as privacy or complaints).
16. General
16.1 Governing law and forum: [Governing law for counsel review].
16.2 If any provision is found unenforceable, the remainder continues in effect.
16.3 A failure to enforce a provision is not a waiver.
16.4 You may not assign these terms. We may assign them to a successor operator of the Website with notice.
16.5 These terms, together with the Privacy Policy and Cookie Notice, are the entire agreement about use of the Website.
16.6 Language. If these terms are offered to persons in Quebec, the French-language requirements of Quebec law must be assessed before publication (Decision Register D-016).
